1. Agreement to Terms

By downloading, installing, or using the MoodScore mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

2. Description of Service

MoodScore is an AI-powered background music (BGM) generation application for iOS. The service allows you to:

• Select a video from your device's photo library
• Analyze your video's mood, tempo, and emotional tone on-device
• Generate original, royalty-free background music using AI
• Mix, adjust, and export the combined video-and-BGM output
• Store and manage a history of your BGM generation projects

3. Eligibility

You must be at least 13 years of age. If you are between 13 and 18, you represent that you have obtained parental or guardian consent.

4. Account Registration

To access certain features, you must create an account. You agree to provide accurate information, maintain the security of your password, and accept responsibility for all activities under your account.

5. AI-Generated Music: Ownership and License

5.1 Originality

BGMs are created by AI on a per-request basis and are intended to be original. We do not guarantee that outputs are entirely unique.

5.2 License Grant

We grant you a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, distribute, and create derivative works based on your Generated BGMs for any lawful personal or commercial purpose.

5.3 No Additional Royalties

You are not required to pay royalties to us for using Generated BGMs.

5.4 Watermark — Free Tier

BGMs generated under the Free tier include an audible watermark. Removal requires upgrading to Creator or Pro.

5.5 Warranty Disclaimer

We do not warrant that Generated BGMs are free of third-party intellectual property claims. You use them at your own risk.

6. Your Content

You retain full ownership of all videos you select. Video files are analyzed entirely on-device and are never uploaded to our servers.

7. Acceptable Use

You agree not to use the App to violate any law, generate content promoting violence or hate speech, reverse engineer the App, or resell access.

8. Subscription Plans and Billing

Subscriptions auto-renew. Cancel anytime via Apple ID settings. All billing is handled by Apple.

9. Intellectual Property

The App, its design, code, and underlying AI models are owned by us. You are granted a limited license to use the App for the BGM generation service.

10. Privacy

Your use of the App is governed by our Privacy Policy.

11. Third-Party Services

The App integrates with Apple Sign In, Google Sign In, and infrastructure providers subject to their own terms.

12. Disclaimers

THE APP AND ALL CONTENT, SERVICES, AND GENERATED BGMS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50 USD.

14. Indemnification

You agree to defend and hold us harmless from claims arising from your use of the App in violation of these Terms.

15. Termination

You may stop using the App at any time. We reserve the right to suspend or terminate your access for violations of these Terms.

16. Governing Law

These Terms shall be governed by the laws of the State of California, United States. Disputes shall be resolved by binding arbitration.

17. Changes to Terms

We may modify these Terms with at least 30 days' notice. Continued use after changes constitutes acceptance.
